Welcome to ArtXover. These Terms of Service ("Terms") govern your access to and use of the ArtXover website at artxover.comand all related services (collectively, the "Services"), operated by Art Crossover Limited ("ArtXover," "we," "us," "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, please do not use our Services.

We may update these Terms by posting a revised version on this page. Your continued use of the Services after any change constitutes your acceptance of the new Terms.

1. Your Account & Eligibility
To use our Services, you must be at least the age of majority in your jurisdiction.
- Account Security: You are responsible for all activities that occur under your account and for keeping your login credentials secure.

- Privacy: Your privacy is important to us. Please review our Privacy Policy to understand how we collect and use your information.

- Our Platform: Our store is hosted on Shopify Inc. Your use of the store is also subject to Shopify’s Terms of Service.

2. Orders, Pricing & Payment
- Pricing & Availability: All prices are subject to change without notice. Product availability and shipping options may also vary. We reserve the right to refuse or cancel any order at our sole discretion.

- Payment: By placing an order, you authorize ArtXover (and our designated payment processors) to charge your selected payment method for the total order amount. Unless stated otherwise, prices do not include applicable taxes, duties, or shipping fees.

- Refunds & Returns: All refunds and returns are handled in accordance with our Refund Policy. Shipping of orders is governed by our Shipping Policy.

3. Product Information & Authentication
- Product Presentation: We strive to display product colours and images as accurately as possible. However, slight variations may occur due to your screen settings. As many of our items are custom-made, minor natural variations can occur and do not constitute a fault.

- Authentication & Digital Ownership: For select products, ArtXover provides a digital certificate of authenticity and product identifiers (e.g., GS1 Digital Link, GTIN) to help verify provenance and product information. These certificates are for verification purposes only and may reference a pseudonymous Collector ID on a public ledger. We do not place personal names or email addresses on-chain.

Note: The specific technical details of our authentication process are proprietary and may be updated or enhanced without prior notice.

4. Resale & Transfers
- Platform-Facilitated Transfers: Where resale or transfer services are supported through official ArtXover channels, you agree to follow the applicable process and any associated rules and fees disclosed at the time of transaction. We may charge administrative or processing fees for these authenticated transfers.

- Off-Platform Sales: Private sales conducted outside of ArtXover's official channels are undertaken at your own risk. We may require proof of a legitimate transfer before updating any ownership records on our platform.

5. Replacement Service
From time to time, certain products may be eligible for a replacement service (e.g., in cases of loss, damage, or for a model change). Eligibility, associated fees, timing, and availability are determined on a product-by-product basis and will be disclosed at the point of request. The availability of a replacement service is not guaranteed. Where a replacement is issued, we will update our records accordingly, which may limit any resale rights associated with the original item.

6. Intellectual Property Rights
All content featured on our Services—including designs, text, graphics, logos, software, and product identifiers—is the exclusive property of ArtXover or our licensors and is protected by intellectual property laws.

You are permitted to use the Services and their content only for their intended purpose. No provision in these Terms grants you a license to use, copy, modify, distribute, or create derivative works from any of our intellectual property beyond what is expressly necessary for that purpose.

7. Acceptable Use
You agree not to misuse our Services. Prohibited activities include, but are not limited to:

- Using the Services for any unlawful purpose.
- Infringing upon the intellectual property or privacy rights of others.
- Uploading malware or attempting to disrupt the integrity or performance of the Services.
- Misrepresenting the origin, authenticity, or ownership of any item.
- Bypassing or tampering with any security, verification, or access control features.

We reserve the right to suspend or terminate your access to the Services for any breach of these Terms.

8. Third-Party Services
Our Services integrate with third-party providers (e.g., Shopify for e-commerce, payment gateways, GS1 for authentication). Your use of these third-party services is subject to their own respective terms and privacy policies. ArtXover is not responsible or liable for the content or services provided by any third party.

9. Disclaimers
The Services and all products are provided on an "as is" and "as available" basis to the fullest extent permissible by law. ArtXover does not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability
To the maximum extent permitted by applicable law, ArtXover and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or revenue, arising from your use of the Services or products.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the products shall not exceed the greater of (a) one thousand Hong Kong dollars (HK$1,000) or (b) the amount you paid to ArtXover for the product or service that is the subject of the claim.

11. Indemnification
You agree to defend, indemnify, and hold harmless ArtXover and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms or your misuse of the Services.

12. Changes & Termination
We may modify, suspend, or discontinue any aspect of the Services at any time. Certain provisions of these Terms, which by their nature are intended to survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will do so.

13. Governing Law & Disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English.

14. Language & Contact
In the event these Terms are provided in both English and Chinese, the English version shall prevail in case of any inconsistency.
